Terms of Service

These Terms of Service govern your use of Nemu (“Nemu”, “we”, “us”), including the websites at nemu.cc and its subdomains, the API gateway, the chat, the computer, the reader and the console. By creating an account, generating an API key, buying a plan or otherwise using the service, you agree to these terms, to our Privacy Policy and to our Refund Policy.

If you use the service on behalf of an organization, you confirm that you have authority to bind it, and these terms apply to that organization. You must be at least 18 years old, or the age of legal majority where you live, to use the service.

Nemu provides an OpenAI- and Anthropic-compatible API gateway, a multi-model chat, the computer (isolated sandbox projects), a reader and a control plane. Model calls on the gateway route to providers you connect with your own keys and are billed by those providers. Nemu's own services, such as search, reading, research, indexing and the computer, run on a credit balance.

Model outputs are generated automatically and can be wrong, incomplete or offensive. They are meant to inform your own decisions and must not be the only basis for a medical, legal, financial or other consequential action.

We improve the service continuously, so features, models, limits and integrations can change. We give notice before removing something a paid plan depends on.

You are responsible for keeping your sign-in details, API keys and connected credentials safe, and for everything done under your account and the workspaces you own.

• Keep API keys confidential and treat them like passwords. Rotate or revoke them at any time from the console.
• Provider keys you add (BYOK) authenticate only your own requests and are billed by that provider, never from Nemu credits.
• Credits belong to an account. They are shared across the workspaces that account owns, and a workspace member spends their own balance, not the owner's.
• Connectors and integrations act on your instructions. Actions that write to an outside system ask for your approval first, and you are responsible for the actions you approve.

You keep ownership of what you send to the service and of the outputs you receive, to the extent the law and the model provider's terms allow. You give us permission to host, process and transmit that content only as needed to run the service for you, to keep it secure and to meet legal obligations. We do not use your prompts, completions, files or documents to train models.

You confirm that you have the rights needed for the content you upload, index or process, and that doing so does not break the law or someone else's rights.

You agree not to use the service to:

• break the law, infringe intellectual property or privacy rights, or create or distribute unlawful, abusive or harmful material, including material that sexualizes minors;
• attack, probe or disrupt Nemu or anyone else, including malware, phishing, spam, denial of service or unauthorized access;
• circumvent rate limits, quotas, credit metering, plan restrictions or security controls, or share one paid account between unrelated people;
• run cryptocurrency mining or other abusive workloads in the computer;
• scrape content unlawfully or ignore robots directives when using the reader;
• resell or transfer credits, or resell access to the service without a written agreement with us;
• reverse engineer the service except where the law expressly allows it.

Our order process is handled by Dodo Payments, our online reseller and Merchant of Record. When you buy a plan you buy it from Dodo Payments, which also handles payment, invoicing, taxes, order questions and refunds we approve. Your purchase is additionally covered by the Dodo Payments Buyer Terms shown at checkout.

• Prices are in euros and include VAT or sales tax where it applies. The tax is calculated at checkout from your billing location.
• Paid plans are monthly subscriptions, billed in advance, that renew automatically until you cancel.
• An upgrade applies straight away and charges the prorated difference for the rest of the current cycle. A downgrade applies at the start of the next cycle.
• If a renewal payment fails, the subscription is put on hold and paid features can stop until the payment succeeds.
• We may change prices for future cycles. We tell you before a new price applies to your renewal, and you can cancel before it does.

Paid plans include a monthly credit balance, stated in euros, for Nemu's platform services. Credits are a prepaid allowance for services Nemu performs, not a stored balance of money. They do not roll over between cycles, cannot be transferred between accounts and are not redeemable for cash.

When credits run out, metered operations pause until the next cycle. There are no overage bills. Credits issued through a campaign or the referral program expire 12 months after they are granted.

You can cancel at any time from the billing settings in the console. Cancellation stops the next renewal and takes effect at the end of the cycle you have already paid for. You keep access and any remaining credits until then.

We refund when our platform is at fault, such as downtime or a fault that stopped you from using what you paid for, in proportion to the damage. We do not refund a plan bought by mistake, a change of mind or unused credits. The full rules and how to ask are in our Refund Policy at nemu.cc/refunds. Your rights under mandatory consumer law are not affected.

We work to keep the service available and publish status and incident information at status.nemu.cc. The service is provided “as is” and “as available”. To the extent the law allows, we make no warranty that it will be uninterrupted, error free or fit for a particular purpose. Downtime caused by us is handled under the Refund Policy.

You can stop using the service and delete your account at any time. We may suspend or end your access if you break these terms, if your use puts the service or other people at risk, if a payment is disputed or reversed, or where the law requires it. Where it is reasonable, we tell you first and give you a chance to fix the problem.

To the maximum extent permitted by law, Nemu is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim is limited to the amount you paid for the service in the three months before the event that caused the claim.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

We may update these terms. We announce material changes in the product or by email before they take effect, and continuing to use the service after that means you accept them. If you do not agree, you can cancel before the change applies.
